Job Description

Are you an experienced paralegal with a strong background in corporate governance, M&A transactions, and intellectual property matters? Our client is seeking a dynamic individual to assist with entity formations, corporate governance, and maintenance of corporate records. In this role, you'll qualify entities to do business in other states, prepare and file corporate documents, and manage intellectual property filings. You'll also conduct UCC searches and filings, assist with securities compliance, and support lawyers with corporate documentation for mergers and acquisitions, real estate, and securities transactions.

Key Responsibilities:

  • Assist with entity formations and corporate governance.
  • Qualify entities to do business in other states.
  • Prepare and file corporate documents and annual reports.
  • Conduct UCC searches and filings.
  • Assist with securities compliance and intellectual property filings.
  • Support lawyers with corporate documentation for various transactions.
  • Coordinate closing checklists, signature pages, and closing binders.
  • Liaise with state and federal agencies regarding corporate filings and compliance.
  • Perform legal research and prepare summaries.

Qualifications:

  • Minimum of seven years of applicable industry experience.
  • Bachelor's degree or paralegal certificate preferred.
  • Strong knowledge of corporate governance, M&A transactions, and intellectual property matters.
  • Proficiency in preparing and filing corporate documents and managing closing processes.
  • Excellent written and verbal communication skills.
  • Ability to work independently, manage multiple deadlines, and collaborate effectively with clients, attorneys, and staff.
  • Experience using Lexis Nexis, ATO, iManage, Outlook, Excel, Word, and Adobe.

Additional Information:

  • Onboarding and training occur on-site. Requests for hybrid work schedules may be considered after a successful onboarding period of no less than 90 days.
